Welcome to SEE IP (South Eastern Europe Innovators Program) by Sofia Tech Park JSC. The program is developed to nurture entrepreneurial mindset and become the leading provider of incubation, acceleration and tech transfer services in the SEE region, by providing the proper tools, knowledge, community and people to support startups in their development stages.

The SEE IP website provides a platform for an immersive training environment, a network and resources to individuals who wish to enter the main program, but are at the initial stage of their startup and need further development and improvement of their business knowledge, skills and experience.

1. Preamble and main features of the program.

• • Sofia Tech Park JSC, as a company with a main mission to foster entrepreneurship, to create conditions for innovations and developments, to develop the technological and innovation capacity of the Bulgarian economy, to create a project for digital and hybrid incubation of young teams and start-ups, which will allow work with multiple teams and concurrent projects.
  • The project is titled SEE IP or South-East European Innovators Program, with the main domain seeip.eu, in which the main language of communication, e-learning content and development materials will be in English. This is due to the fact of extremely strong competitiveness and challenges in international business relations and will be a natural incentive for Bulgarian citizens to be prepared for them at the international level.
  • Sofia Tech Park JSC, as the author of this program, builds its corporate identity and brand and works on its promotion among partners, partner organizations, associations, clusters, other technology parks and state government bodies at the national and international level.
  • In order to build an effective, sustainable and successful model, Sofia Tech Park JSC will work to: develop the diversity of learning and work materials; relative to know-how concepts; development of technologies and models to ensure quality development and incubation of innovative ideas, teams and start-ups in the focal areas of development of the Science and Technology Park.
  • This contract defines the parameters of a key partnership that is mutually beneficial and develops the goals and activities of the partners.

Main features of the SEEip.

• • The program was developed with the potential for development beyond the borders of Bulgaria, as it can be deployed to neighboring Balkan countries in a short period of time.
  • The participants of the program go through 7 stages, which are also defined according to the phase of development of their projects – from a very initial idea phase, to a stage in which the company has an international presence, high turnover and profits and could be evaluated with a market value. The seven stages are:
  • Ground zero
  • Launch stage
  • Stage 1
  • Stage 2
  • Stage 3
  • Technology transfer stage
  • Unicorn stage.

Program participants must be:

• • individuals or legal entities, with sole or team format of management and ownership,
  • authors or holders of an innovative idea, concept, utility model and/or patent that they wish to develop and bring into market format and commercial form.

The program is a key component of Sofia Tech Park’s innovation, entrepreneurship and start-up support and development activities, and as such, it is managed with an in-house operational capacity.

• • The program has goals to achieve, metrics for success, deadlines for implementation and other components that will support its development, improvement and confirmation as a key activity of Sofia Tech Park for the development of entrepreneurship, innovation and the Bulgarian economy as a whole.

2. Definitions

A. Parties

“You” and “your ” refer to you, as a user of our Services. A “user” is someone who accesses, posts, edits, browses, gains access to content, materials, multimedia, network people, experts and organizations or in any way uses our Services.

“We,” “us,” and “our” refer to Sofia Tech Park’s (as main stakeholder and owner) SEE IP program.

B. Content

“SEE IP” is the name of the program, and is fully owned, developed and operated by Sofia Tech Park JSC. Everywhere in this document SEE IP means Sofia Tech Park JSC as a legal entity for the program. “Content” means text, images, photos, audio, video and all other forms of data or communication.

“Site” means the whole digital infrastructure related to the SEE Ip, located on seeip.eu, its sub-domains, mirror domains (such as seeip.sofiatech.bg) etc.

“Your Content” means Content that you submit or transmit to, through, or in connection with our Services, such as posts, comments, invitations, messages, and information that you publicly display.

“User Content” means Content that users submit or transmit to, through, or in connection with our Services.

“SEE IP Content” means Content that we create and make available in connection with our Services.

“Third Party Content” means Content that originates from parties other than the SEE IP platform or its users, which is made available in connection with our Services.

“Site Content” means all of the Content that is made available in connection with our Services, including Your Content, User Content, Third Party Content, and SEE IP partner content.

“Services” means all functionalities, access to information, learning modules, interaction flows, content configurations and content links, knowledge sharing, access to direct contact with other program members, mentors, teachers, advisors and other roles.

3. Changes to Terms of Use

We may modify these Terms from time to time. You understand and agree that your access to or use of our Services is governed by the Terms effective at the time of your access to or use of our Services. If we make changes to these Terms, we will notify you by email or by posting a revised version of the Terms on our Site. We will also indicate at the top of this page the date that revisions were last made. Any such changes will become effective no earlier than fourteen (14) days after they are posted, except that changes addressing new functions of the Site or changes made for legal reasons will be effective immediately. You should revisit these Terms on a regular basis as revised versions will be binding on you. You understand and agree that your continued access to or use of our Services after the effective date of modifications to the Terms indicates your acceptance of the modifications.

In addition, when using certain components of the Site, you will be subject to any additional terms, policies, rules or guidelines applicable to the Site or such components of the Site that may be posted on the Site from time to time, including, without limitation, the Privacy Policy located on seeip.eu., the Applications Privacy Policy located at seeip.eu. All such terms are hereby incorporated by reference into these Terms of Use.

4. Access and Use of the Site and content

A. Eligibility

To access or use our Services, you must be 14 years or older and have the requisite power and authority to enter into these Terms. You may not access or use our Services if we have previously banned you from our Site or closed your account.

B. Permission to Use the Site

We grant you permission to use our Services subject to the restrictions in these Terms. Your use of our Services is at your own risk.

C. Site Availability

Our Services may be modified, updated, interrupted, suspended or discontinued at any time without notice or liability from our side.

D. User Accounts

Once you apply to the program in the event that you are accepted, you will receive credentials to finalize your user registration. You must provide certain truthful information about yourself in order to use some of the features that are offered through our Services. You are responsible for maintaining the confidentiality of your account password. You are also responsible for all activities that occur in connection with your account. You agree to notify us immediately of any unauthorized use of your account. Sofia Tech Park JSC or SEE IP will not be liable for any loss or damage arising from your failure to comply with this Section.

E. Communications from SEEIP, Sofia Tech park and other Users

By creating an account for you, you agree to receive certain communications in connection with your use of our Services. For example, you might receive questions or requests from other Users related to information or events you post on using our Services. If you have subscribed to them, you also will receive reading lists and email newsletters about happenings in your area. We provide unsubscribe links in all of our email footers if you no longer wish to receive those communications from us.

5. Content

A. Content Guidelines

The purpose of our Services is to promote, develop and grow a thriving entrepreneurial ecosystem in South East Europe as well as entrepreneurs and researchers in neighboring regions such as Africa, Central and South Asia, and the Middle East. They are not intended to be utilized as a forum for self-promotion or for commercial gain by its users (e.g. users are not permitted to promote personal business interests or services through using our Services).

B. Responsibility for Your Content

You alone are responsible for Your Content and assume all risks associated with Your Content. You represent that you own, or have the necessary permissions to use and authorize the use of Your Content as described herein.

You may expose yourself to liability if, for example, (i) Your Content contains material that is false, intentionally misleading, or defamatory; (ii) violates any third-party right, including any copyright, trademark, patent, trade secret, moral right, privacy right, right of publicity, or any other intellectual property or proprietary right; (iii) contains material that is unlawful, including illegal hate speech or pornography; (iv) exploits or otherwise harms minors; or (v) violates or advocates the violation of any law or regulation.

C. Our Right to Use Your Content

We may use Your Content in a number of different ways, including publicly displaying it, reformatting it, incorporating it into other works, creating derivative works from it, promoting it, distributing it, and allowing others to do the same in connection with their own websites and media platforms (“Other Media”). As such, you hereby irrevocably grant us world-wide, perpetual, non-exclusive, royalty-free, assignable, sublicensable, transferable rights to use Your Content for any purpose. Please note that you also irrevocably grant the users of our Services and any Other Media the right to access Your Content in connection with their use of our Services and any Other Media. Finally, you irrevocably waive, and cause to be waived, against SEE IP and its users any claims and assertions of moral rights or attribution with respect to Your Content. By “use” we mean use, copy, publicly perform and display, reproduce, distribute, modify, translate, remove, analyze, commercialize, and prepare derivative works of Your Content.

D. Ownership

As between you and SEE IP, you own Your Content. We own the SEE IP Content, including but not limited to the visual interfaces, interactive features, graphics, design and all other elements and components of our Services excluding Your Content, User Content, and Third Party Content. We also own the copyrights, trademarks, service marks, trade names, and other intellectual and proprietary rights throughout the world (“IP Rights”) associated with the SEE IP Content and our Services, which are protected by copyright, trade dress, patent, trademark laws and all other applicable intellectual and proprietary rights and laws. As such, you may not modify, reproduce, distribute, create derivative works or adaptations of, publicly display or in any way exploit any of the SEE IP Content in whole or in part except as expressly authorized by us. Except as expressly and unambiguously provided herein, we do not grant you any express or implied rights, and all rights in and to our Services and the SEE IP Content are retained by us.

6. Fees

A. Cost for participants.

Once accepted in the program, you will gain access to a network of experts, VC investors, advisors, mentors, state agencies and many other stakeholders that might be crucial to your success.

Every participant will be accepted in the program free of charge for the stages Ground Zero and Launch stage.

B. Cost for investors.

Nevertheless, SEEIP is operating under a mixture of EU regulations and commercial opportunities and all SEEIP costs are currently covered solely by Sofia Tech Park, JSC.

Therefore, SEEIP is mainly operating with a success fee mode, which means that your program membership has an estimated cost that must be covered by your first investor or investment.

These terms of use are binding with a scale of an agreement, and you and your first investor are obligated to the success fee in any way, after your enrolment in the program.

The success fee is due within 1 month after receiving your first investment which took place anytime after the date of your enrolment in SEEip.

In the case that you do not attract any funding with your project/idea, the success fee is not due.

7. Restrictions

A. You agree not to, and will not assist, encourage, or enable others to use our Services to:

• • Violate our Content or Event Guidelines as set forth in these Terms
  • Violate any third party’s rights, including any breach of confidence, copyright, trademark, patent, trade secret, moral right, privacy right, right of publicity, or any other intellectual property or proprietary right
  • Threaten, stalk, harm, or harass others, or promote bigotry or discrimination
  • Send bulk emails, surveys, or other mass messaging, whether commercial in nature or not
  • Violate any applicable law and/or regulations
  • use your account, access content and services for your benefit in any way.

B. You also agree not to, and will not assist, encourage, or enable others to:

• • Violate the Terms
  • Modify, adapt, appropriate, reproduce, distribute, translate, create derivative works or adaptations of, publicly display, sell, trade, or in any way exploit our Services or Site Content (other than Your Content), except as expressly authorized by SEE IP
  • Reverse engineer any portion of our Services
  • Remove or modify any copyright, trademark or other proprietary rights notice that appears on any portion of our Services or on any materials printed or copied from our Services
  • Record, process, or mine information about other companies and/or users
  • Reformat or frame any portion of our Services
  • Attempt to gain unauthorized access to our Services, user accounts, computer systems or networks connected to our Services through hacking, password mining or any other means
  • Use our Services or any Site Content to transmit any computer viruses, worms, defects, Trojan horses or other items of a destructive nature (collectively, “Viruses”)
  • Use any device, software or routine that interferes with the proper working of our Services, or otherwise attempt to interfere with the proper working of our Services
  • Use our Services to violate the security of any computer network, crack passwords or security encryption codes; disrupt or interfere with the security of, or otherwise cause harm to, our Services or Site Content
  • Remove, circumvent, disable, damage or otherwise interfere with any security-related features of our Services, features that prevent or restrict the use or copying of Site Content, or features that enforce limitations on the use of our Services

8. Events

A. Events and Acceptance of Terms.

As used below, the term “SEE IP Event” means an event, gathering, promotion, contest, meet-up or the like that is organized or hosted by Sofia Tech Park JSC. A “Partner Event” means an event, gathering, promotion, demo day, contest, meet-up or the like that is organized by a trusted partner of SEE IP. A “Non-SEE IP Event” means an event, gathering, promotion, contest, meet-up or the like that is organized or hosted by someone other than Sofia Tech Park JSC, but that may appear or be listed on our Events. In order to participate or attend a SEE IP Event you must agree to the terms in this Section 6. If you RSVP ( “RSVP” is an initialism of the French phrase, “répondez s’il vous plaît.” this directly translates to “Respond, if you please.”) ( to any “SEE IP Event” or Non-SEE IP Event through our Services, you confirm that you have read, understood and agreed to these event terms.

B. Photos

Sofia Tech park team and its sponsors and vendors sometimes take photos and videos at SEE IP Events, and later use them for promotional purposes. By participating or attending any SEE IP Event, you agree that you may appear in some of these photos and videos, and you authorize their use in this fashion. In addition, if you take any photos or videos of attendees at a SEE IP Event and provide them to us, you authorize us to use them in the same fashion, and represent that the attendees that appear in your photos and videos have consented to such use. We do not control Non-SEE IP Events or the people that organize them. It is possible that organizers or attendees of Non-SEE IP Events will take photos or shoot videos in which you appear and then post them online (including, possibly, on our Services). By RSVPing to a Non-SEE IP event through our Services, you authorize SEE IP’s use of such media for promotion purposes.

9. Privacy and Copyright/Trademark Disputes

A. Privacy

Your use of our Services is subject to SEE IP’s Privacy Policy available here.

B. Intellectual Property Rights

You acknowledge and agree that the Site may contain content or features (“Site Content”) that are protected by copyright, patent, trademark, trade secret or other proprietary rights and laws. Except as expressly authorized by SEE IP, you agree not to modify, copy, frame, scrape, rent, lease, loan, sell, distribute or create derivative works based on the Site or the Site Content, in whole or in part, except that the foregoing does not apply to your own User Content (as defined below) that you legally upload to the Site. In connection with your use of the Site you will not engage in or use any data mining, robots, scraping or similar data gathering or extraction methods. If you are blocked by SEE IP from accessing the Site (including by blocking your IP address), you agree not to implement any measures to circumvent such blocking (e.g., by masking your IP address or using a proxy IP address). Any use of the Site or the Site Content other than as specifically authorized herein is strictly prohibited. Any rights not expressly granted herein are reserved by SEE IP.

The SEE IP name and logos are trademarks of Sofia Tech Park JSC. (collectively the “STP Trademarks”). Other trademarks used and displayed via the Site may be trademarks of their respective owners who may or may not endorse or be affiliated with or connected to SEE IP. Nothing in these Terms of Use or the Site should be construed as granting, by implication, estoppel, or otherwise, any license or right to use any of SEE IP Trademarks displayed on the Site, without our prior written permission in each instance. All goodwill generated from the use of SEE IP Trademarks will insure to our exclusive benefit.

C. Copyright and Trademark Disputes – applicable

If you believe that your copyright or trademark is being infringed through our Services, please send us a written notice with the following information:

• • Identification of the copyrighted or trademarked work that you claim has been infringed;
  • Identification of the allegedly infringing content, and information reasonably sufficient to permit SEE IP to locate it on our Site, platforms, social media and other (e.g., the URL for the web page on which the content appears);
  • A statement by you that you have a good faith belief that the use of the content identified in your notice in the manner complained of is not authorized by the copyright/trademark owner, its agent, or the law;
  • A statement by you that you attest, under penalty of perjury, that the information in your notice is accurate and that you are the copyright/trademark owner or authorized to act on the owner’s behalf; and
  • Your physical or electronic signature, together with your contact information (address, telephone number and, if available, email address).

If you believe that your content should not have been removed for alleged copyright or trademark infringement, you may send us a written counter-notice with the following information:

• • Identification of the copyrighted or trademarked work that was removed, and the location within our Services where it would have been found prior to its removal;
  • A statement, under penalty of perjury, that you have a good faith belief that the content was removed as a result of a mistake or misidentification. For trademark disputes only: information reasonably sufficient to explain why you believe you are not infringing the trademarked work;
  • With your physical or electronic signature, together with your contact information (address, telephone number and, if available, email address) at the end of the document.

We will respond to all such notices and comply with applicable law. We reserve the right to remove content alleged to be infringing without prior notice and at our sole discretion. We also reserve the right to terminate a user’s account if the user is determined to be a repeat infringer.

10. Third Party Websites

Our Services may contain links to third party websites. When you click on a link to any other website or location, you will leave our Services and you will be subject to the terms of use and privacy policy applicable to those websites. We have no control over, do not review, and cannot be responsible for, these outside websites or their content, and your use of such websites is at your own risk. The links to third party websites or locations are for your convenience and do not signify our endorsement of such third parties or their products, content or websites. You further acknowledge and agree that SEE IP will not be responsible or liable, directly or indirectly, for any damage or loss caused or alleged to be caused by or in connection with use of or reliance on any content, events, goods or services available on or through any such sites, resources or applications. Any dealings you have with third parties found while using the Site are between you and the third party, and you agree that SEE IP is not liable for any loss or claim that you may have against any such third party. Some of the services made available through our Services may be subject to additional third party or open source licensing terms and disclosures, which are incorporated herein by reference.

11. User Disputes

You agree that you are solely responsible for your interactions with any other user in connection with the website and SEE IP will have no liability or responsibility with respect thereto. SEE IP reserves the right, but has no obligation, to become involved in any way with disputes between you and any other user of the website.

12. DISCLAIMERS AND LIMITATIONS OF LIABILITY

PLEASE READ THIS SECTION CAREFULLY SINCE IT LIMITS THE LIABILITY OF THE SEE IP ENTITIES TO YOU. EACH OF THE SUBSECTIONS BELOW ONLY APPLIES UP TO THE MAXIMUM EXTENT PERMITTED UNDER APPLICABLE LAW. NOTHING HEREIN IS INTENDED TO LIMIT ANY RIGHTS YOU MAY HAVE WHICH MAY NOT BE LAWFULLY LIMITED. IF YOU ARE UNSURE ABOUT THIS OR ANY OTHER SECTION OF THESE TERMS, PLEASE CONSULT WITH A LEGAL PROFESSIONAL PRIOR TO ACCESSING OR USING OUR SERVICES. BY ACCESSING OR USING OUR SERVICES, YOU REPRESENT THAT YOU HAVE READ, UNDERSTOOD, AND AGREED TO THESE TERMS, INCLUDING THIS SECTION.

A. OUR SERVICES ARE MADE AVAILABLE TO YOU ON AN “AS IS”, “WITH ALL FAULTS” AND “AS AVAILABLE” BASIS, WITH THE EXPRESS UNDERSTANDING THAT THE SEE IP ENTITIES MAY NOT MONITOR, CONTROL, OR VET USER CONTENT. AS SUCH, YOUR USE OF OUR SERVICES IS AT YOUR OWN DISCRETION AND RISK. THE SEE IP ENTITIES MAKE NO CLAIMS OR PROMISES ABOUT THE QUALITY, ACCURACY, OR RELIABILITY OF OUR SERVICES, ITS SAFETY OR SECURITY, OR THE SITE CONTENT. ACCORDINGLY, THE SEE IP ENTITIES ARE NOT LIABLE TO YOU FOR ANY LOSS OR DAMAGE THAT MIGHT ARISE, FOR EXAMPLE, FROM OUR SERVICE’S INOPERABILITY, UNAVAILABILITY OR SECURITY VULNERABILITIES OR FROM YOUR RELIANCE ON THE QUALITY, ACCURACY, OR RELIABILITY OF OUR SERVICES, OR INFORMATION FOUND ON, OR MADE AVAILABLE THROUGH OUR SERVICES.

B. THE SEE IP ENTITIES MAKE NO CLAIMS OR PROMISES WITH RESPECT TO ANY THIRD PARTY, SUCH AS THE BUSINESSES OR EVENTS HOSTED BY THIRD PARTIES LISTED ON OUR SERVICES OR OUR SERVICE’S USERS. ACCORDINGLY, THE SOFIA TECH PARK ENTITIES ARE NOT LIABLE TO YOU FOR ANY LOSS OR DAMAGE THAT MIGHT ARISE FROM THEIR ACTIONS OR OMISSIONS. YOUR ATTENDANCE AT EVENTS AND/OR USE OF SERVICES OFFERED BY THIRD PARTIES THROUGH OUR SERVICES IS AT YOUR OWN DISCRETION AND RISK.

C. THE SEE IP ENTITIES EXPRESSLY DISCLAIM ALL WARRANTIES, WHETHER EXPRESS OR IMPLIED, INCLUDING WARRANTIES AS TO THE EVENTS LISTED ON OUR SERVICES, AND IMPLIED WARRANTIES OF MERCHANTABILITY, FITNESS FOR A PARTICULAR PURPOSE, AND NON-INFRINGEMENT.

D. YOUR SOLE AND EXCLUSIVE RIGHT AND REMEDY IN CASE OF DISSATISFACTION WITH OUR SERVICES OR ANY OTHER GRIEVANCE SHALL BE YOUR TERMINATION AND DISCONTINUATION OF ACCESS TO, OR USE OF OUR SERVICES. IN SUCH CASE, ANY INVESTMENT SUCCESS AFTER YOUR ENROLMENT IN SEE AND AFTER YOUR SOLE TERMINATION IS STILL UNDER SUCCESS FEE REQUIREMENT FOR UP TO 18 MONTHS SINCE TERMINATION.

E. THE SEE IP ENTITIES’ MAXIMUM AGGREGATE LIABILITY TO YOU FOR LOSSES OR DAMAGES THAT YOU SUFFER IN CONNECTION WITH OUR SERVICES OR THESE TERMS IS LIMITED TO THE GREATER OF (i) THE AMOUNT PAID, IF ANY, BY YOU TO THE SEE IP ENTITIES IN CONNECTION WITH OUR SERVICES IN THE 12 MONTHS PRIOR TO THE ACTION GIVING RISE TO LIABILITY, OR (ii) EURO 100,00.

F. THE SEE IP ENTITIES DISCLAIM LIABILITY FOR ANY (i) INDIRECT, SPECIAL, INCIDENTAL, PUNITIVE, EXEMPLARY, RELIANCE, OR CONSEQUENTIAL DAMAGES, (ii) LOSS OF PROFITS, (iii) BUSINESS INTERRUPTION, (iv) REPUTATIONAL HARM, OR (v) LOSS OF INFORMATION OR DATA.

13. Termination

A. You may terminate the membership to the SEE IP at any time by closing your account, discontinuing your use of our Services, and providing SEE IP with a written notice of termination to your program supervisor.

B. We may terminate, deny you or anyone else services, close any account, suspend your ability to use certain portions of our Services, and/or ban you altogether from our Services for any or no reason, and without notice or liability of any kind, in our sole discretion. Any such action could prevent you from accessing your account, our Services, Your Content, Site Content, or any other related information. Nevertheless, you may request an explanation in writing for the particular reasons and motives on your access termination.

C. In the event of any termination of these Terms, whether by you or us, Sections 1, and 4 through 14 will continue in full force and effect, including our right to use Your Content as detailed in Section 4.

14. General Terms

A. We reserve the right to modify, update, or discontinue our Services at our sole discretion, at any time, for any or no reason, and without notice or liability.

B. We may provide you with notices, including those regarding changes to the Terms by email, regular mail or communications through our Services.

C. Except as otherwise stated in Section 10 above, nothing herein is intended, nor will be deemed, to confer rights or remedies upon any third party.

D. The Terms contain the entire agreement between you and us regarding the use of our Services, and supersede any prior agreement (written or oral) between you and us on such subject matter. The parties acknowledge that no reliance is placed on any representation made but not expressly contained in these Terms.

E. Any failure on SEE IP’s part to exercise or enforce any right or provision of the Terms does not constitute a waiver of such right or provision. The failure of either party to exercise in any respect any right provided for herein shall not be deemed a waiver of any further rights hereunder.

F. If any provision of the Terms is found to be unenforceable or invalid, then only that provision shall be modified to reflect the SEE IP’ intention or eliminated to the minimum extent necessary so that the Terms shall otherwise remain in full force and effect and enforceable.

G. The Terms, and any rights or obligations hereunder, are not assignable, transferable or sublicensable by you except with SEE IP’s prior written consent, but may be assigned or transferred by us to any third party without restriction. Any attempted assignment by you shall violate these Terms and be void.

H. The section titles in the Terms are for convenience only and have no legal or contractual effect.

15. Your Privacy

At SEE IP, we respect the privacy of our users. For details please see our Privacy Policy. By using the Site, you consent to our collection and use of personal data as outlined therein.
